The Importance of a Well-Planned Board Meeting

A board meeting is a strategic meeting for the company, where it evaluates its past performance, participates in discussions, and approves plans of actions to help the company through its various phases of growth. Most often, these plans are for new policies, projects or organizational changes that require coordination between various teams and departments within the company.

A well-planned meeting agenda is crucial for a successful board meeting. This helps everyone be on the same page when discussing issues. This can also help reduce distractions like tangential conversations and unproductive chatter. Incorporating an “parking lot” to the end of the agenda can be a great way to push less-important discussion issues aside, allowing the most important issues to be addressed first.

Participants must remain focused on the task. It is the Board Chair’s job to restore order when there is a Board member is disrupting or acting in a way that is inappropriate. This could mean temporarily adjourning a meeting until the offender can calm down or permanently apologizing if the behavior persists.

Every board meeting must have precise minutes. The board secretary or minutes keeper is responsible for recording every deliberation or decision in a manner that is simple to comprehend. This includes all information about motions, including who seconded them or whether they were voted on by the voice or by numbers. If there were any dissensive votes, a detailed explanation of why those votes were against the motion is recorded in the minutes.
